OFFICIAL RULES 

 

 

1. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING A PRIZE.  

 

2. Giveaway Period. The Health-Ade x Simple Mills x Good Culture Giveaway (the “Giveaway”) entry period begins once post alerting fans to Giveaway is live on Instagram account (“Post”) and ends at 11:59 PM CT on 06/10/2026 (the “Entry Period”). All entries must be received during the giveaway period. Pacific Time shall control for all purposes of this Giveaway. Sponsor’s designated clock shall be the official timekeeper for the Giveaway. The Giveaway is governed by these Official Rules and is subject to all applicable federal, state and local laws. Void where prohibited. 

 

 

3. Eligibility. This Giveaway is open only to legal residents of the 50 United States and District of Columbia who, at the time of entry, are at least 18 years of age, excluding employees, directors or officers of Health-Ade (“Sponsor”), its parent, affiliated companies, representatives, dealers and agents, and those who are immediate family members of and/or domiciled with any of the foregoing.  The Giveaway is subject to all applicable federal, state and local laws and regulations and is void outside of the 50 United States and District of Columbia and where restricted, taxed or prohibited. In order to enter the Giveaway or receive the prize, you must fully comply with the Official Rules and, by entering, you represent and warrant that you agree to be bound by these Official Rules and the decisions of the Sponsor, whose decisions shall be binding and final in all respects relating to this Giveaway.

 

 

4. How to Enter.  During the Entry Period, to receive one (1) entry into the Giveaway, (i) follow @healthade, @simplemills, and @good_culture (ii) like the collaborated Giveaway post from the @healthade, @simplemills, and @good_culture Instagram accounts (individually and collectively, the “Post”), and (iii) tag one (1) friend in the comment section of the Post (the “Entry”). ALL ENTRIES MUST BE RECEIVED DURING THE GIVEAWAY PERIOD. Limit one (1) Entry per person throughout the entire Entry Period.

Any attempt or suspected attempt to enter more than once per person/Platform, or any use of robotic, automatic, programmed or entry methods not authorized by these Official Rules, shall be deemed as tampering and will void all of your entries. If the identity of an entrant is disputed, the authorized social media account account holder at the time of entry will be deemed to be the entrant.  The individual assigned to the e-mail address for the domain associated with the submitted post is considered the authorized account holder.  A selected entrant may be required to provide proof that he/she is the authorized account holder of the account associated with the selected entry.  All entries must be submitted from a valid social media account account that may be identified by reverse domain name search. By entering, each entrant warrant and represents the following: (a) entrant is the sole and exclusive owner of the entry; (b) the entry is entrant’s own creation; and (c) the entry will not infringe on any rights of any third parties.  By entering, entrant agrees to abide by the Official Rules. 

 

 

5. Odds of Winning. After the close of the Entry Period, three (3) potential winner(s), subject to verification, will be selected in a random drawing from all eligible entries received. Odds of winning depend upon the total number of eligible entries received. Winner(s) will be notified within 48 hours after the Giveaway Period and contacted by the official @simplemills Instagram account 

 

 

6. Prize. Each winner will receive a prize package (“Prize”) consisting of: one (1) Health-Ade Variety Pack (approximate retail value (“ARV”): $49.95), a one (1) months worth of Simple Mills Sweet Mmms and crackers + (ARV: $25), and Good Culture merch & coupons + (ARV: $83.97) . Total ARV of the entire prize package: $158.92. Any and all federal, state and local taxes on the prize are the sole responsibility of the winner. If prize or any portion thereof is not accepted, is unclaimed or unused by a winner, it will be forfeited and will not be substituted. No transfer, refund, cash redemption, substitution or replacement of prize or any prize component permitted, except that Sponsor reserves the right, in its sole discretion, to substitute a prize of equal or greater value (or cash equivalent). ARV of prize is in U.S. dollars. Winners must supply a mailing address in order to receive a prize.  

 

 

7. Winner Notification. The potential winner(s) will be announced on the Post and/or contacted via direct message. If a potential winner does not reply to Sponsor’s direct message within two (2) business days their entry will be void and Sponsor will have no further obligation to such potential winner and another potential winner will be selected. Sponsor shall make a reasonable number of attempts to award the Prizes. By entering this Giveaway, you hereby consent to be contacted by Sponsor for administration of this Giveaway and winners may be required to execute and return an affidavit of eligibility and liability release and where legal, publicity release. Failure to return any or all documents as specified, a prize or prize notification being returned as undeliverable, or failure to comply with any term of these Official Rules may result in disqualification, the Prize being forfeited and Sponsor having no further obligation. An alternate winner will be randomly selected until all prizes are awarded provided there are a sufficient number of eligible entries. Any and all guarantees and warranties on merchandise prizes are subject to the manufacturers’ terms and conditions, and winners agree to look solely to such manufacturers for any such warranty or guarantee claim. 

 

 

8. Conditions.  By entering this Giveaway, each entrant consents to the use of his or her entry, name, city of residence and any image or other recording of or that may be taken of the foregoing in publicity carried out by Sponsor and its agent, without further notice or compensation. All entries become the property of Sponsor. By entering this Giveaway, each entrant irrevocably, perpetually, and without limitation, grants Sponsor the exclusive right to use, publish, such entry in any way, in commerce, and in any media worldwide in any format (electronic, print, or other) and waives all of his or her rights, in and to the entry.  All entries that are incomplete, illegible, damaged, irregular, have been submitted through illicit means, are inappropriate or inconsistent with Sponsor’s image as determined by Sponsor in its sole discretion, or do not conform to or satisfy any condition of these Official Rules may be disqualified by Sponsor.  Sponsor takes no responsibility for lost, stolen, delayed, damaged, misdirected, late or destroyed entries, or for typographical or other production errors.  Sponsor is not responsible for any errors or omissions in printing or advertising this Giveaway.  By entering this Giveaway, entrants release and hold harmless Sponsor, Giveaway Entities, Social Media Platforms, and each of their parents, subsidiaries, affiliates and respective directors, officers, owners, partners, employees, agents, dealers, representatives, successors and assigns (collectively the “Releasees”) from any liability in connection with preparing for, travel to and/or participation in this Giveaway or any Giveaway-related activity; any use, misuse, nonuse, or possession of any prize; any typographical or other error in these Official Rules; any technical malfunctions; and for any claim based on a violation of privacy or publicity rights, defamation, misappropriation, false association, intellectual property infringement or breach of contract.  This Giveaway will be administered in accordance with these Official Rules, subject to amendment by Sponsor as set forth herein.  Entrants must comply with these Official Rules, and by participating in the Giveaway will be deemed to have received and understood these Official Rules. IN NO EVENT WILL THE RELEASEES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE WEBSITE, PLATFORM AND/OR GIVEAWAY, DOWNLOADING FROM AND/OR PRINTING MATERIAL ASSOCIATED WITH THE WEBSITE, PLATFORM AND/OR GIVEAWAY.  All disputes arising out of, or in connection with, these Official Rules, a prize and/or the Giveaway shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association.  Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated with any claim or controversy of another party.  This arbitration shall be conducted in Bakersfield, CA whose laws shall govern any disputes hereunder.  For any matter not subject to arbitration as set forth above, entrants agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in or closest to Bakersfield, CA and to not raises the defense of forum non-conveniens. 

 

 

9. Disclaimer.  Sponsor nor Giveaway Entities assumes responsibility for failure of the Internet, any platform and/or the website during the Giveaway Period, for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any email or traffic congestion on the Internet or at any website, platform, or app, or any combination thereof including any injury or damage to an entrant’s or any other person’s computer related to or resulting from playing or downloading any material in connection with or otherwise participating in the Giveaway. Sponsor reserves the right, in its sole discretion, to cancel, suspend or otherwise modify this Giveaway for any reason, including but not limited to, canceling any method of entry or void any entries submitted fraudulently should unauthorized human intervention, or other causes corrupt administration, security, fairness, integrity or proper operation of this Giveaway. In the event of cancellation, Sponsor may elect to identify the winners and award the prizes by way of random drawing from among all non-suspect, eligible entries received up to the time of such cancellation. Any attempt to deliberately damage any website, platform, or app or to undermine the legitimate operation of this Giveaway is a violation of criminal and civil laws.  Should such an attempt be made, Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.   

 

 

10. Severability.  If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions will remain in full force and effect.  

 

 

11. Winner List. To obtain a copy of the winner’s list, available two (2) weeks after Giveaway Period has ended, send a self-addressed, stamped envelope to: Health-Ade Social Giveaway, 2012 Abalone Avenue, Torrance, CA 90501, for Sponsor’s receipt by four (4) weeks after Giveaway Period has ended .

 

 

12. Privacy Policy.  Sponsor is collecting personal data about the winners solely for the purpose of administering this Giveaway.  No further informational or marketing communications will be received by entrants unless entrants provide Sponsor with permission to do so.
